设立服务类中外合资公司所需材料
The material for a foreign enterprise to apply for the establishment of a service china-foreign in chengdu is as follows:

（一）投资双方的营业执照或开业证明的复印件；
A certificate of legal operation (transcript) issued by the competent authority of the country where the enterprise is located;

（二）投资双方的法人身份证明复印件；
The passport or ID card (copy) that the investor.(Director or General Manager);

（三）外国银行对投资方的资信证明原件 3 份；
3 certificates of credit (original) issued by a foreign bank which has business relations with the enterprise;

（四）内资提供验资报告；
The china company offer the check capital report.

（五）双方签订的合资合同；
The contract signed by both sides.

（六）投资方董事会决议；
The resolution of the board of directors of the enterprise.

（七）投资方申请书及公司介绍
An application signed by chairman of the board of directors or general manager of the enterprise and a brief introduction of the enterprise, purpose of such establishment, scope of business.

（八）拟设成都公司法人身份证明复印件、简历、照片 8 张；
The passport or ID card (copy) and 8 photos that the artificial person in chengdu company.

（九）成都公司执行董事任命书；
The appointment of execute of broad director in chengdu company.

（十）双方同意授权某人签字的授权书；
The power of attorney to someone sign files in china.

（十一）公司房屋租赁合同及房产证复印件；
The prove file of leasing office and the title deed (copy).

（十二）委托本公司代办手续的委托书；
The agant agreement signed with our company.

注意事项：
Special notice:

1 、批发类注册资金要求最少为 50 万人民币，即 6.5 万美金（建议为 100 万人民币，即 14 万美金）关键是注册金额和实际所从事的事相符；
The US$65000 is the register capital that minimally request, but we strong recommend US$140000. The key point is the register captial must accord with the business we want to do.

2 、所有资金必须在一年内付清，初次付款金额不得低于 15%，所有资金必须来自境外；
All the register capital should pay off in one year, first pay should not under 15%, all the capital should come from oversea bank.

3 、每次打入资金，都必须请会计事务所做一次验资报告。
Everytime customer translate into captial, should do the check capital by accountants.
